1. Scope and Relationship to Other Agreements

These AI Terms of Use (“AI Terms”) govern all artificial intelligence-powered features, present and future, within the Murphi.in enterprise secure messaging platform (“Platform”). While these AI Terms are primarily designed to address the requirements of Banking, Financial Services, and Insurance (“BFSI”) subscribers, they apply equally to subscribers from all other enterprise segments, including but not limited to manufacturing, retail and e-commerce, legal services, professional services, healthcare administrative functions, logistics, real estate, education, consulting, information technology, telecommunications, media, hospitality, energy, pharmaceuticals, government contractors, non-governmental organizations, and any other enterprise. These AI Terms are supplemental to the Terms of Use. In the event of conflict between these AI Terms and the Terms of Use, the Terms of Use shall control for general platform matters. In the event of conflict with the Platform Licensing Agreement, the Platform Licensing Agreement shall control for commercial and financial matters. The Privacy Policy controls for data protection matters.

2. AI Feature Definitions

For the purposes of these AI Terms, “AI Features” means all artificial intelligence-powered capabilities within the Platform, including but not limited to message summarization, language translation, smart search, anomaly detection, content classification, voice-to-text transcription, sentiment analysis, auto-drafting of message templates and responses, compliance report generation, and meeting summarization. “AI Outputs” means all results, summaries, translations, classifications, transcriptions, analyses, suggestions, and content generated by AI Features. “Input Data” means the data provided to AI Features for processing, including User-Generated Content and Messaging Data. “Third-Party AI Model Providers” means external providers of AI models used by the Platform, which are not named herein. “Human-in-the-Loop” means the requirement for human review and authorization before reliance on AI Outputs. “Automated Decision-Making” means a decision made solely by automated processing without human involvement. “Business Automation Flows” means purpose-built, bounded AI workflows with clear and predictable business outcomes, as permitted by Meta on WhatsApp. “General-Purpose Conversational AI” means open-ended AI chatbot functionality, which is restricted by Meta on WhatsApp effective January 15, 2026. Murphi.in uses third-party AI model providers without naming them; models may change at Murphi.in’s discretion.


3. Data Ownership

Subscriber owns all Input Data and AI Outputs generated using Subscriber’s User-Generated Content. Murphi.in owns the AI Features, integration architecture, prompts, workflows, and underlying technology. Murphi.in retains a license to use aggregated, de-identified, and anonymized data, feedback, corrections, and usage data to operate, maintain, improve, and enhance AI Features. Ownership of AI Outputs does not imply, warrant, or guarantee accuracy, completeness, reliability, or fitness for any purpose.


4. Nature of AI Outputs

AI Outputs may not always be accurate, complete, current, or reliable. All AI Outputs, including summaries, translations, classifications, transcriptions, compliance flags, sentiment analyses, and auto-drafted content, are suggestions only. AI Outputs are not authoritative, binding, verified, or guaranteed. AI Outputs may contain inaccuracies, omissions, misinterpretations, mistranslations, or errors. AI Outputs may reflect biases present in training data, including biases based on language, dialect, accent, gender, cultural context, or regional patterns.


5. Human-in-the-Loop Requirement

Human-in-the-loop review is mandatory. Subscribers and Users must review and independently validate all AI Outputs before any reliance, action, or decision. AI Outputs must not be used as the sole basis for financial decisions, investment advice, trade instructions, regulatory filings, compliance determinations, legal opinions, medical advice in non-clinical healthcare contexts, customer-facing communications without review, disciplinary actions against employees, contractual commitments, or any business decision with material consequences. All such decisions require human review and authorization by qualified personnel within the Subscriber’s organization.


6. Segment-Specific AI Disclaimers

AI Outputs are not financial advice, investment advice, regulatory advice, compliance determinations, legal advice, KYC or AML determinations, fraud determinations, or credit decisions. These disclaimers apply across all segments but are particularly important for BFSI Subscribers. For non-BFSI segments, AI Outputs are additionally not medical advice, engineering certifications, manufacturing quality determinations, legal opinions, tax advice, professional certifications, or any binding determination of any kind. Use of AI Features does not create any advisory, fiduciary, or professional relationship between Murphi.in and any Subscriber, User, customer, or third party. Subscribers are solely responsible for regulatory compliance under their applicable sector regulations. Murphi.in is not responsible for any regulatory penalty, enforcement action, or consequence arising from Subscriber’s use of or reliance on AI Outputs.


7. Translation Disclaimer

Language translation AI Outputs may contain errors, mistranslations, or cultural misinterpretations. Translations are provided for convenience only. Subscribers must not rely on AI translations for legally binding communications, regulatory filings, contracts, customer agreements, or official correspondence without independent verification by qualified human translators. Murphi.in is not responsible for any consequence arising from mistranslation.


8. Transcription Disclaimer

 

Voice-to-text transcription AI Outputs depend on audio quality, accent, language, speaker clarity, background noise, and technical limitations. Transcripts may contain errors and are not verbatim records. Subscribers must not rely on transcripts for regulatory filings, legal proceedings, disciplinary actions, or official records without independent verification. Murphi.in is not responsible for transcription inaccuracies or omissions.

 

9. Summarization Disclaimer

Thread and meeting summarization AI Outputs may omit important context, misinterpret nuances, or misrepresent conclusions. Summaries are convenience features only. Subscribers must not rely on summaries as substitutes for reviewing original conversations or meetings. Murphi.in is not responsible for decisions made based on summaries without reviewing source material.


10. Compliance Flagging Disclaimer

Anomaly detection and compliance classification AI Outputs are heuristic and may produce false positives and false negatives. AI-flagged content is not conclusive evidence of a regulatory violation. AI-unflagged content is not a compliance clearance. Subscriber compliance teams must conduct independent review of all communications as required by applicable BFSI and sector-specific regulations. Murphi.in is not a regulator, auditor, or compliance determiner.


11. Sentiment Analysis Disclaimer

Sentiment analysis outputs reflect algorithmic interpretation only and may not accurately reflect customer emotions, intent, or satisfaction. Outputs must not be used as the sole basis for customer service decisions, complaint handling, or dispute resolution without human review.


12. AI Bias

AI models may reflect biases present in training data, including biases based on language, dialect, accent, gender, cultural context, or regional patterns. Murphi.in uses commercially reasonable efforts to minimize bias but does not guarantee bias-free outputs. Subscribers are responsible for evaluating AI Outputs for fairness and compliance with anti-discrimination laws applicable to their jurisdiction. Murphi.in is not responsible for any disparate impact, discriminatory outcome, or unfair treatment arising from Subscriber’s use of AI Outputs.


13. Third-Party AI Model Providers

Murphi.in uses third-party AI model providers without naming them. Model providers may change at Murphi.in’s discretion without notice. Different AI Features may use different model providers. Murphi.in is not responsible for changes in model behavior due to provider updates, provider outages or service discontinuation, changes in provider terms of service, or any losses or inaccuracies attributable to third-party model providers.


14. Data Processing for AI

Input Data processed by AI Features may be transmitted to third-party AI model providers for processing. Murphi.in ensures sub-processor agreements address data protection obligations consistent with the DPDP Act, GDPR, and applicable law. Aggregated and de-identified data may be used to improve AI Features. Subscriber User-Generated Content containing personal data, sensitive information, or proprietary business information is never used to train Murphi.in’s AI models or any third-party general-purpose foundation model. Only aggregated, de-identified, and anonymized data is used for AI improvement. Subscribers may opt out of all data use for AI improvement via the Platform Licensing Agreement.


15. Cross-Border AI Data Transfer

AI processing may involve transfer of Input Data to third-party model provider infrastructure which may be located outside the Subscriber’s country. Murphi.in uses commercially reasonable efforts to route AI processing through infrastructure respecting data residency requirements where feasible. Subscribers acknowledge that some AI Features may involve cross-border data transfer and are responsible for ensuring this is permissible under applicable law and appropriately disclosed to their users. Specific data transfer safeguards are configured in the Platform Licensing Agreement and, where applicable, the Data Processing Addendum.


16. WhatsApp AI Chatbot Policy Compliance

Subscriber acknowledges that effective January 15, 2026, Meta restricts general-purpose conversational AI chatbots on the WhatsApp Business API. Only purpose-built Business Automation Flows are permitted, including support bots, booking bots, order bots, and appointment bots with clear, predictable business outcomes. Any AI Features Murphi.in provides that interact with External Users via WhatsApp must operate within this restriction. Prohibited on WhatsApp: ChatGPT-style open-ended chatbots, general-purpose AI assistants, and unbounded conversational AI. Permitted: bounded business workflows such as authenticated account balance inquiries, calendar booking flows, and order status lookups. Subscriber is responsible for configuring AI automation within Meta’s permitted scope. Murphi.in is not responsible for Meta enforcement actions arising from Subscriber’s use of unpermitted AI chatbot functionality on WhatsApp, including account suspensions or policy violations.


17. Adversarial Use and Prompt Manipulation

It is prohibited for Users to manipulate, probe, exploit, circumvent, or test boundaries of AI Features, including through adversarial inputs, prompt injection, jailbreaking, attempts to extract training data, model weights, or proprietary prompts, or any activity designed to misuse AI Features or elicit harmful, unauthorized, or unintended outputs. Murphi.in is not responsible for AI Outputs generated through adversarial or manipulative activity.


18. Prohibited Uses of AI Outputs

Subscribers and Users shall not use AI Outputs as the sole basis for regulatory filings, compliance determinations, or enforcement actions without human review; submit AI-generated content to regulators without independent verification; represent AI Outputs as human-generated or independently verified; use AI Outputs to discriminate against any person or group; use AI Outputs for automated financial or business decision-making affecting customers without human review; use AI Outputs to generate misleading, harmful, or deceptive content; use AI Outputs to impersonate individuals or organizations; or distribute AI Outputs as investment advice, credit assessments, insurance recommendations, legal advice, medical advice, tax advice, or any form of regulated professional advice.

 

19. No Autonomous Decision-Making

AI Features do not make autonomous financial, investment, compliance, regulatory, legal, medical, engineering, or customer-facing decisions. All such decisions require human review and authorization. AI Features are decision-support tools only. Subscribers must not configure AI Features to execute autonomous decisions affecting financial outcomes, customer rights, regulatory obligations, or professional determinations.


20. AI Training and Data Usage

Aggregated, de-identified data, feedback, corrections, suggestions, and usage data may be used to improve Murphi.in’s AI Features. Subscriber User-Generated Content containing personal data or sensitive business information is never used for training Murphi.in’s AI models or third-party general-purpose foundation models absent specific authorization configured in the Platform Licensing Agreement. Murphi.in may train its proprietary models using de-identified and anonymized aggregated data at its discretion. Subscribers may opt out of all data use for AI improvement via the Platform Licensing Agreement.


21. Risk Allocation

Murphi.in does not guarantee any specific outcome from AI Features. All risk of reliance on AI Outputs lies with Subscribers and Users. Performance metrics, accuracy rates, or quality claims referenced in documentation or marketing materials are estimates, not guarantees. Subscriber ownership of AI Outputs does not alter any disclaimer or risk allocation set forth in these AI Terms or the Terms of Use.


22. Professional Malpractice and Regulatory Exclusion

Murphi.in shall not be responsible for professional malpractice, regulatory violations, financial advisor errors, compliance officer errors, legal errors, medical errors in non-clinical contexts, engineering errors, or any other professional error committed by Subscriber’s personnel, even where such professionals used or relied upon AI Outputs in the course of their professional duties. Responsibility for professional decisions rests solely with the professional and the Subscriber.


23. EU AI Act Compliance

For Subscribers with operations in the European Union, Murphi.in AI Features are general-purpose support tools. They are not high-risk AI systems within the meaning of the EU AI Act (Regulation EU 2024/1689). Murphi.in will update AI Features as needed to address EU AI Act enforcement milestones as they take effect through 2027. Subscribers are solely responsible for EU AI Act compliance in their own use cases, including risk assessment, conformity assessment, and transparency obligations as applicable to their deployment of AI Features.


24. Encryption and Future Cryptographic Risks

AI processing and data storage employ encryption reflecting current industry standards. Future cryptographic developments, including quantum computing, may affect encryption strength. Murphi.in is not responsible for future decryption of historically stored AI inputs or outputs.

 

25. Financial Terms

All financial terms relating to AI Features, including liability caps, indemnification, audit costs, breach notification costs, and all financial remedies, are governed exclusively by the applicable Platform Licensing Agreement, SOW, and Order Form. These AI Terms do not create any financial obligation running from Murphi.in to Subscribers or any third party.


26. General Disclaimer and Relationship to Other Agreements

 

The general disclaimer of liability set forth in the Terms of Use applies in full to all AI Features and AI Outputs. Murphi.in is not responsible for any losses, damages, costs, penalties, fines, regulatory actions, reputational harm, business interruption, or adverse outcomes of any kind arising from or related to AI Features or AI Outputs. These AI Terms are supplemental to the Terms of Use and the Privacy Policy. The Terms of Use controls for general platform matters. The Platform Licensing Agreement controls for commercial and financial matters. The Privacy Policy controls for data protection matters.
All parties acknowledge and agree to comply with all applicable laws, statutes, and regulations, including but not limited to the DPDP Act 2023, GDPR, IT Act 2000, EU AI Act, and all other applicable AI governance frameworks and laws of the relevant jurisdiction.


27. Modification of Terms

Murphi reserves the right, at its sole discretion, to modify, update, or replace these AI Terms, Terms of Use, and Privacy Policy from time to time. Any material changes will be effective upon posting or as otherwise specified. Murphi may, but is not obligated to, provide notice of such changes. Customer’s continued access to or use of the platform following the effective date of any updates constitutes acceptance of the revised terms. If Customer does not agree to the revised terms, Customer must cease use of the platform.


28. Continuity of Terms

Notwithstanding any updates, modifications, or replacements to these Terms from time to time, any provisions, rights, obligations, or conditions set forth in prior versions of the Terms that are not expressly modified, superseded, or addressed in the most current version shall continue in full force and effect and are hereby incorporated by reference into the then-current Terms.
In the event of any inconsistency, conflict, or ambiguity between the then-current version of the Terms and any prior version, such inconsistency shall be interpreted in a manner that most effectively preserves the intent, enforceability, and protection of Murphi.ai’s rights, interests, and remedies, and such interpretation shall prevail.
